Remuneration for members of the Board

Fees and other remuneration for elected members of the Board, including the chairman, are fixed by the AGM.

Establishment of fees to Board Directors
The AGM made a decision regarding fees to Board Directors, primarily in line with the following:

• The Board shall be paid fees totaling SEK 1,800,000, to be distributed as follows. The Chairman of the Board shall be paid SEK 600,000 and each of the other Board Directors elected by the AGM who are not employed within the Company or its subsidiaries shall be paid SEK 300,000;
• Cost reimbursement for administrative costs of SEK 20,000 plus value-added tax shall be paid to an associated company of the Chairman of the Board every quarter;
• A fixed fee of SEK 50,000 shall be paid under certain circumstances to the Board Director who has special responsibility for the subsidiary Finnveden Metal Structures AB;
• A fixed fee of SEK 250,000 shall be paid to the audit committee, of which SEK 100,000 to the Chairman of the audit committee and SEK 50,000 to each of the other audit committee members, the payment being subject to the condition that the member is a Board Director elected by the AGM and is not employed within the Company or its subsidiaries. No remuneration shall be paid to the members of the remuneration committee.
• Provided the fiscal conditions are right for invoicing, and provided it is cost neutral for the Company, the Board Directors shall be given opportunities to invoice the Board fee through companies.
